The paper analyses the provisions of the Commercial Code of Ukraine, comparing them with certain provisions of the Civil Code of Ukraine and separate laws and other regulations. Considering the need to align Ukrainian legislation with the legislation of the European Union countries in legislation regarding the establishment and operation of partnerships, corporate governance, protection of shareholders, creditors and other interested parties, regarding the further development of corporate governance policy in accordance with international standards, including the gradual approximation to the rules and recommendations of the European Union in this area, it is concluded that it is advisable to abolish the Commercial Code of Ukraine by adopting the relevant law, which stipulates all necessary measures to ensure proper legal regulation of relations for the period of preparation of the relevant systemic changes to the Civil Code of Ukraine. It is proved that most of the provisions of the Civil Code of Ukraine are reference or blanket, and therefore have minimal regulatory impact and mostly duplicate the provisions enshrined in other regulations. Based on the analysis of the provisions of the Commercial Code of Ukraine, it is concluded that its provisions, given their minimal regulatory impact on business relations and considering the detailed regulation of these relations in the Civil Code of Ukraine, can be repealed without any reservations. In such settings and in order to simplify the legal regulation of business activity, as well as in view of the obligations of our country (in particular, to bring the Ukrainian legislation in conformity with the legislation of the EU countries in legislation regarding the establishment and activity of partnerships, corporate governance, protection of rights of shareholders, creditors, and other stakeholders, regarding further development of corporate governance policy in line with international standards, as well as the progressive approximation to EU rules and recommendations in this area), the expediency of abolishing the Commercial Code of Ukraine is beyond doubt
Статтю присвячено аналізу положень Господарського кодексу України, зіставленню їх із положеннями Цивільного кодексу України та окремими законами, іншими нормативно-правовими актами. Виокремлено низку системних суперечностей між нормами Господарського кодексу України та Цивільного кодексу України щодо регулювання правового статусу юридичних осіб, що існують в організаційно-правових формах підприємств, об’єднання юридичних осіб, майнових основ господарювання, господарських зобов’язань. Обґрунтовано неможливість системного оновлення цивільного законодавства без визнання Господарського кодексу України таким, що втратив чинність. У статті проаналізовано зміст основоположних розділів Господарського кодексу України щодо їх регуляторного впливу на підприємницькі відносини. Аналіз правових норм Розділу І «Загальні положення» (ст. ст. 1–54 Господарського кодексу України) свідчить про можливість скасування без будь-яких негативних наслідків статей, включених до цього розділу. Аналіз положень Розділу ІІ Господарського кодексу України, присвяченого визначенню правового статусу суб’єктів господарювання, дав змогу дійти висновку про наявність низки системних суперечностей між нормами Господарського кодексу України та Цивільного кодексу України. Обґрунтовано слушність відображеного в законопроєкті № 6013 підходу щодо скасування відповідних положень Господарського кодексу України та визначення перехідного періоду для узгодження організаційно-правових форм наявних юридичних осіб із положеннями Цивільного кодексу України. Проаналізований зміст Розділів III та V Господарського кодексу України дав змогу констатувати відсутність потреби в їх збереженні з огляду на наявність такого значного масиву різнорівневих актів законодавства, а також відсутність якихось особливостей регулювання цих відносин, які не охоплювалися би предметом регулювання Цивільного кодексу України та спеціальними актами законодавства. Обґрунтовано доцільність прийняття загалом Закону України «Про особливості регулювання підприємницької діяльності окремих видів юридичних осіб та їх об’єднань у перехідний період» з огляду на обов’язки нашої держави щодо членства в Європейському Союзі.
As experience in the development of the economy of different countries shows, risk is an integral factor in a market economy. The rapid development of science and technology, the emergence of new technologies, their implementation into production, the increase in the number of innovative projects give rise to new types of risks, which, in turn, complicate social relations. The lack of a unified approach to the scientifically justified definition of risk, its features, classification criteria, as well as the lack of a conceptual and categorical component necessitates the further study of risk in law, which is reflected in the qualitative legal regulation of the relations of participants. The subjects of the research are the economic and legal aspects of innovative activity risks. Accordingly, the purpose of the article is a study of the nature of risk, the main classification features, defining the role and place of legal risks, identifying the main approaches to risk management of innovative projects. To achieve this goal, we have used the following research methods: analysis and generalization of theoretical sources and scientific literature; abstractlogical method in the process of theoretical generalizations and formation of conclusions; general scientific methods of analysis and synthesis. In the result of the research conducted it is determined that the risk of an innovative project is a set of risks that combine the elements associated with a particular innovative project, that is, for each specific project and the entity that develops, implements and manages the project will be its own set of risks. A prerequisite for business decision-making is the skills and ability to manage risk, which is to determine its acceptable limits, taking into account the potential negative consequences, which, among other things, will minimize the impact of the risk factor on the planned economic outcome of the introduction of innovation. A crucial factor in ensuring the success of the innovative risk management process is interaction at all stages, in particular during the identification, analysis, evaluation, control, monitoring of risks. Engaging and understanding the risk management process and its need for all project participants ensures the effectiveness of structural and organizational risk management measures. Effective risk management requires commitment, as well as the conscious behavior of each person. The motivation and interaction of the parties involved in the project ultimately determine the quality of the work and therefore the success of the project.
Nowadays, active legislative reforms are being implemented in Ukraine, which are gradually introducing conceptual provisions on ensuring the right of the individual to information and aiming to effectively overcome the identified negative factors by introducing European standards in the field of the individual's right to information, however, to transform approaches to the right of the individual to information. in the context of European integration, attention is paid only fragmentarily, which in turn actualises the topic. The aim of this article is to investigate the transformation of approaches to the essence and content of a person's right to in-formation in the context of Ukraine's European integration reforms. The outlined subject matter was explored through the approbation of the system of conceptual approaches and a set of general scientific and special scientific methods. Compar-ative analysis of the legal acts of Ukraine and the European Union in the research area displayed that it is now possible to refer to the imperfection of Ukrainian legal regulation in the field of securing, regulating and protecting the right of a person to information. Five urgent steps were proposed for the most prudent transformations of the person's right to information in Ukraine in the context of European integra-tion.
