This study addresses an apparent disconnect between two views of strategic action: the ‘economic view,’ which contends that industry structure is the primary influence on strategic action, and the ‘cognitive view,’ which suggests that managerial cognition drives strategic action. We argue that this disconnect has created artificial boundaries between the two perspectives and has limited our ability to develop holistic explanations of strategic action. In response, we develop an integrated model that answers two questions: 1) Does industry context affect managerial cognition? 2) Does managerial cognition mediate the relationship between industry context and strategic responses to environmental changes? To examine these questions, we study the relationship between industry velocity, the structure of top management's cognitive representation of the environment, and the speed of response to environmental events. We find that industry velocity influences the structure of cognitive representations, which in turn influence the speed of response to environmental events. These results support our contention that both industry and cognition variables are critical in developing explanations of strategic actions. These results have implications for our understanding of the development of top managers' beliefs, the relationship between beliefs and action, and the nature of the complex relationship between industry context, managerial cognition, and strategic action. The idea of this paper is to determine the mental models of actors in the firm with respect to the stakeholder approach of corporate governance. The use of the cognitive map to view these diagrams to show the ways of thinking and conceptualization of the stakeholder approach. The paper takes a corporate governance perspective, discusses stakeholder model. It takes also a cognitive mapping technique.

Alors mes yeux se tournent vers demain qui s'en vient Christensen (1953), la problématique que soulève la préparation de la relève dans les petites et moyennes entreprises familiales (PMEF) constitue une préoccupation pour divers acteurs économiques tels que les propriétaires-dirigeants, les chercheurs, les consultants et les gouvernements.Cet intérêt est d'autant justifié que la préparation d'un successeur est reliée à la survie de l'entreprise (Christensen, 1979;Danco, 1975;Robidoux, 1980;Ward, 1987) et que l'importance du rôle que jouent les PME dans l'économie nord-américaine n'est plus à démontrer. L'examen de la littérature sur la succession managérielle dans les PMEF révèle que la préparation d'un successeur est un processus complexe à long terme à l'intérieur duquel le releveur subit des influences provenant de la famille, de l'entreprise et de l'extérieur de ces deux entités.Toutefois, cette littérature est principalement axée sur les points de vue du propriétaire-dirigeant ou celui du chercheur et, peu des études recensées rapportent le point de vue des successeurs à propos des étapes de socialisation qu'ils traversent avant, pendant et après leur arrivée au poste de dirigeant.Devant ce constat, nous avons consulté des auteurs du champ de la socialisation organisationnelle (entre autres: Feldman, 1976A;Jones, 1986; Van Maanen et Shein, 1979;Nicholson, 1984). L'intégration de ces deux littératures a permis de concevoir un modèle exploratoire de recherche illustrant les étapes et les événements du processus de socialisation d'un successeur ainsi que ses ajustements à son nouveau rôle de dirigeant Pour confronter le modèle à la réalité, nous avons adopté la méthodologie des cartes cognitives (voir Ford et Hegarty, 1984;Bougon et al., 1977). L'étude rapporte le point de vue d'un successeur dans une ferme familiale de production de pommes de terre. La collecte de données a nécessité 10,5 heures d'entrevue réparties en trois rencontres pour lesquelles les techniques d'entrevue structurée et semistructurée ont été utilisées.Les résultats obtenus présentent la perception d'un successeur quant aux liens de causalité entre les variables du modèle exploratoire. Le traitement des données a permis de représenter graphiquement le scheme cogninf du sujet (sa carte cognitive).Les principales conclusions de l'étude portent à la fois sur des considérations théoriques et méthodologiques.À l'intérieur des étapes du processus de socialisation, la position occupée par les variables dans la carte du sujet correspond à la position qu'elles occupent dans le modèle exploratoire à l'exception de deux variables ("sentiment d'avoir fait le bon choix de carrière" et "sentiment de compétence"). La direction des liens entre les variables de la carte cognitive du sujet confirme un des postulats formulés indiquant que: "les variables d'une étape n'ont de l'influence que sur les variables d'une même étape et sur celles des étapes subséquentes".
