Using a broad temporal and transnational approach, it argues that social purpose has been a defining trait of the corporation since the concept of legal personhood first appeared in antiquity. “…The business corporation has not always been the totalitarian institution it has become today. Historians trace back early corporate forms to the temporary agreements among merchants to pool capital and split risks from long distance trading voyages found in most ancient societies, including Assyria, China, and the Roman Empire (Davoudi, McKenna, and Olegario 2018;Stern 2017). The precursor to the modern corporate form, the state-chartered company, emerged as an instrument of colonization during the period of European expansion in the sixteenth and seventeenth centuries.…”

“…One last principle that underlies the modern corporation was institutionalized with the 1919 Dodge v. Ford judgment in Michigan (Bakan 2004). Based on precedents going back to the last decades of the previous century (Davoudi et al 2018), this judgment essentially codified into law the "best interests of the corporation" principle, according to which a corporation and its directors' foremost duty is to maximize shareholder wealth (Bakan 2004). Since then, legal scholars such as Joel Bakan view the corporation as legally mandated to return profit, and thus externalize costs as much as possible.…”
